Terms of Service

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Your Account

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
• You may not transfer, sell, or share your account with any other person.
• We reserve the right to suspend or terminate accounts that violate these Terms, our Community Guidelines, or applicable law.

3. User Content

3.1 Ownership

You retain ownership of the content you create and post on Unitribe ("User Content"), including posts, images, videos, audio, comments, and messages. Unitribe does not claim ownership of your User Content.

3.2 License Grant

By posting User Content on the Service, you grant Unitribe a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating, providing, and promoting the Service. This license ends when you delete your User Content or your account, except where your content has been shared with others who have not deleted it, or where it has been recorded on a public blockchain.

3.3 Responsibility

You are solely responsible for the User Content you post. You represent that you have all necessary rights and permissions to share your content, and that your content does not violate any third party's intellectual property rights, privacy rights, or any applicable law.

4. Prohibited Conduct

You agree not to use the Service to:

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially or ethnically offensive.
• Engage in bullying, harassment, doxxing, or intimidation of other users.
• Post sexually explicit content involving minors, or any content that exploits or endangers children.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Distribute spam, unsolicited promotions, phishing attempts, or malware.
• Manipulate the platform through bots, fake accounts, artificial engagement, or coordinated inauthentic behavior.
• Attempt to gain unauthorized access to other users' accounts, the Service's systems, or any connected networks.
• Use the platform for money laundering, terrorist financing, or any other illegal financial activity.
• Scrape, crawl, or use automated means to collect data from the Service without our prior written consent.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Violate any applicable law, rule, or regulation, or encourage others to do so.

5. Web3, Crypto & NFT Features

• Unitribe integrates blockchain-based features, including crypto tokens, NFTs, and a built-in wallet. By using these features, you acknowledge and accept the inherent risks of blockchain technology, including but not limited to price volatility, irreversibility of transactions, and smart contract vulnerabilities.
• Unitribe is not a financial institution, broker, or exchange. We do not provide financial, investment, or tax advice. Any crypto rewards, tokens, or NFTs received through the platform are provided as-is, and their value may fluctuate or become worthless.
• Blockchain transactions are publicly visible and irreversible. Once a transaction is recorded on-chain, it cannot be undone or deleted.
• You are responsible for safeguarding your wallet credentials and private keys. Unitribe cannot recover lost wallet access.
• You agree not to use the platform's Web3 features for market manipulation, wash trading, rug pulls, or any fraudulent scheme.

6. Live Waves & Communication Features

• Waves are live audio and video rooms. By participating, you consent to other participants hearing your voice and/or seeing your video when you enable your microphone or camera.
• Wave hosts may enable recording. When recording is active, all participants will be notified. By remaining in a recorded Wave, you consent to the recording.
• You may not record, broadcast, or redistribute Wave content without the consent of all participants.
• All communications through messaging, calls, and Waves are subject to these Terms and our Community Guidelines.

7. AI Features

Unitribe offers an AI Chat assistant and may use AI for content recommendations, moderation, and other features. AI-generated responses are provided for informational and entertainment purposes only and should not be relied upon as professional, legal, medical, or financial advice. You are responsible for independently verifying any information provided by AI features.

8. Intellectual Property

The Unitribe name, logo, branding, design, software, and all proprietary technology are owned by Unitribe and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our proprietary materials without prior written consent. If you believe your intellectual property rights have been infringed on the Service, please contact us at legal@unitribe.app with a detailed description of the alleged infringement.

9. Content Moderation & Enforcement

• We reserve the right to remove or restrict any content that violates these Terms, our Community Guidelines, or applicable law, at our sole discretion and without prior notice.
• We may suspend, restrict, or permanently ban accounts that repeatedly violate our policies.
• Users can report content or accounts they believe violate our policies. We review reports and take action as appropriate.
• Unitribe is not obligated to monitor all content but may use automated systems and human review to detect violations.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITRIBE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR PERSONAL INFORMATION; (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (D) LOSS OF CRYPTO ASSETS, TOKENS, OR NFTS; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Unitribe and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of any third party.

13. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or our policies. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) will remain in effect.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), without regard to conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved amicably. If no resolution is reached within 30 days, the dispute shall be referred to the competent courts of the Emirate of Dubai, UAE. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Effective date" above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
